What to check before you buy

Map your SOX scope first. Section 404 programs with hundreds of controls need different tooling than a first-year 302 effort; confirm the platform fits your control count and testing cadence.

Verify external auditor acceptance: your auditors must work in the tool, so check their familiarity and evidence export. Check PBC request automation and deficiency tracking workflows. Confirm integration with your ERP and close systems. Finally, evaluate implementation support: SOX tools succeed on configuration quality, and first-year setup decides long-term value.

Surviving your first SOX audit

The first SOX audit feels like an ambush. The second is a routine. The difference is preparation, and most of it can be done before the auditors arrive.

Start scoping early. Not every control needs testing every year; the audit focuses on controls over material financial reporting risks. Work with your auditors to agree the scope (which processes, which locations, which accounts) months in advance. Scope agreed late means testing started late, which means findings discovered late, when there is no time to remediate.

Document as you go, not at the end. For each key control, you need a description, the owner, the frequency, and evidence it operated. The most common first-year finding is not that controls are bad; it is that nobody can prove they happened. A control performed but not documented is a control that failed, in audit terms.

Assign control owners who understand what they own. The accounts payable clerk performing a three-way match should know it is a SOX control, why it matters and what evidence to keep. Owners who learn about their controls from the auditor in a walkthrough will describe them inconsistently, which creates findings out of thin air.

Run a dry walkthrough internally. Before the auditors arrive, walk through each significant process end to end: order to cash, procure to pay, record to report. Bring the control owners, trace a transaction through the system, and check that the evidence exists. The gaps you find yourself are free to fix; the gaps the auditor finds become deficiencies.

Treat the auditor as a counterparty, not an adversary. Provide requested evidence promptly and completely, answer precisely what was asked, and escalate disagreements early through the proper channels. Antagonism does not reduce findings; it increases sample sizes.

Finally, track remediation like a project. Findings need owners, deadlines and retesting. A finding remediated in March and retested clean in June is a success story; a finding "we will fix soon" is a repeat deficiency next year.

How we chose

We selected SOX-relevant platforms with live products and real public-company customers, spanning dedicated SOX tools, close management and GRC suites, using vendor sites, documentation and public reviews. Pricing is quote-based across the category, so all prices are See website. We did not run control tests.

Rationalizing controls without angering auditors

Mature SOX programs accumulate controls like sediment: every audit adds a few, nobody removes any. A bloated control set costs real money in testing time and owner fatigue. Rationalization trims it, but it must be done in a way auditors accept.

Start with redundancy. Two controls covering the same risk at different steps often mean one can go. Map controls to risks explicitly; where two controls address the identical assertion for the identical account, keep the stronger one and retire the other. Document the reasoning so the auditor sees a method, not a whim.

Look for controls that never fail. A control with three clean years of testing and no changes in the underlying process is a candidate for reduced frequency or retirement. Auditors accept this when the history is documented and the process is stable. "It has always been fine" is not documentation; three years of clean test results is.

Automate the manual. Manual controls are expensive to test and prone to human error. Every manual reconciliation or review that can become a system-enforced check should be. Automated controls, once proven, test cheaper and fail less. The business case for automation in a SOX program is unusually clear because the testing savings recur annually.

Consolidate across locations. Multinationals often run slightly different controls per region for historical reasons. Standardizing on one global control design cuts testing effort and makes deficiencies easier to fix once.

Involve the auditor early. Present the rationalization plan before implementation, not after. Auditors who helped shape the criteria will accept the outcome; auditors presented with a fait accompli will re-expand the scope defensively. The goal is a control set that is lean enough to sustain and strong enough to defend.

Frequently asked questions

What is SOX compliance software?

Software that manages Sarbanes-Oxley compliance: documenting internal controls over financial reporting, scheduling and tracking control tests, managing deficiencies and producing audit evidence.

What is the difference between Workiva and AuditBoard for SOX?

Workiva unifies SOX with financial reporting and ESG on one platform; AuditBoard connects SOX controls deeply with internal audit workpapers. Both are leaders; the choice often follows which adjacent function matters more.

Do BlackLine and FloQast replace SOX software?

They complement it. Close tools generate control evidence through reconciliations and close tasks; dedicated SOX platforms manage control design, testing and deficiency workflows. Many companies use both.

What are PBC requests?

Provided by Client: the evidence lists auditors send management. Good SOX tools automate PBC collection, tracking and reuse across audit cycles.

How long does SOX software implementation take?

Typically 2 to 6 months depending on control count, data migration and process maturity. First-year implementations with clean control documentation go fastest.

Can private companies use SOX software?

Yes. Pre-IPO companies often implement SOX-like controls early, and the same tools manage any internal-controls program regardless of listing status.

Does SOX apply to private companies?

Section 404's internal control requirements apply to public companies, but private companies planning an IPO typically start SOX readiness one to two years before listing. Private companies also adopt SOX-like controls voluntarily when investors, lenders or acquirers expect them. The software is useful in all three cases; the audit pressure just arrives on different timelines.

What is the difference between SOX 404(a) and 404(b)?

Section 404(a) requires management to assess and report on internal controls; 404(b) requires the external auditor to attest to that assessment. Smaller public companies have exemptions from 404(b), which significantly reduces audit cost and effort. Know which requirements apply to your filer status before scoping the program.
